Terms and Conditions

Aquatic SEO LLC

These Terms and Conditions (“Terms”) govern access to and use of the Aquatic SEO website and any engagement with Aquatic SEO LLC (“Aquatic SEO,” “Company,” “we,” “us”).

By accessing this website or engaging Aquatic SEO for services, you acknowledge and agree to be bound by these Terms.


1. Scope of Services

Aquatic SEO provides inbound marketing, lead generation, demand capture, and digital growth services designed for marine-industry businesses, including but not limited to:

  • Search engine optimization (SEO)

  • Paid media strategy and management

  • Conversion optimization and funnel strategy

  • Analytics, tracking, and reporting

  • Consulting and strategic advisory services

All services (“Services”) are provided pursuant to a separate written agreement, proposal, or statement of work (“Client Agreement”).

Any services not expressly defined in a Client Agreement are outside scope and require a separate written agreement and fees.


2. No Guarantee of Results

Aquatic SEO does not guarantee rankings, traffic volumes, lead counts, bookings, revenue, or business outcomes.

Client acknowledges that digital marketing performance depends on numerous factors outside Aquatic SEO’s control, including but not limited to:

  • Search engine algorithms

  • Market competition

  • Seasonality and weather

  • Client pricing, operations, sales process, and responsiveness

Aquatic SEO provides strategic execution and expertise — not certainty of outcome.


3. Client Responsibilities

Client is solely responsible for:

  • Providing accurate, lawful, and complete information

  • Maintaining ownership or usage rights to all content provided

  • Granting timely access to required platforms, websites, and accounts

  • Making final business decisions based on recommendations

Delays or failures caused by Client omissions do not constitute breach by Aquatic SEO and do not pause billing obligations.


4. Fees and Payment Terms

Fees are defined in the applicable Client Agreement and are billed in advance unless otherwise stated.

Invoices are due upon receipt or within thirty (30) days, as specified in the Client Agreement.

Aquatic SEO reserves the right to suspend or terminate Services for non-payment without liability.

All fees paid are non-refundable unless explicitly stated otherwise in writing.


5. Intellectual Property & Licensing

Unless otherwise agreed in writing:

  • Client retains ownership of content it provides to Aquatic SEO

  • Upon full payment, Client receives a non-exclusive, non-transferable license to use deliverables created specifically for Client for internal business purposes

Aquatic SEO retains all ownership rights to:

  • Methodologies, frameworks, systems, templates, SOPs, processes, and tools

  • Pre-existing intellectual property

  • Strategic models, analyses, and proprietary approaches

Nothing in these Terms transfers ownership of Aquatic SEO’s underlying systems or know-how.


6. Independent Contractor Relationship

Aquatic SEO operates solely as an independent contractor.

Nothing in these Terms or any Client Agreement creates a partnership, joint venture, agency, fiduciary, or employment relationship.


7. Third-Party Platforms and Tools

Client acknowledges that Aquatic SEO may utilize third-party platforms, software, and services.

Aquatic SEO is not responsible for outages, errors, data loss, or policy changes related to third-party providers.

Client remains bound by all applicable third-party terms.


8. Disclaimer of Warranties

Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Aquatic SEO disclaims all warranties, express or implied, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

Aquatic SEO does not warrant uninterrupted or error-free operation of Services.


9. Limitation of Liability

To the maximum extent permitted by law:

Aquatic SEO shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, reputation, or business opportunity.

Aquatic SEO’s total cumulative liability arising from or related to Services shall not exceed the lesser of:

  • The total fees paid by Client under the applicable agreement, or

  • The fees paid in the three (3) months preceding the claim

This limitation applies regardless of legal theory.


10. Indemnification

Client agrees to indemnify, defend, and hold harmless Aquatic SEO and its affiliates from any claims, damages, liabilities, costs, or expenses arising from:

  • Client-provided content or materials

  • Alleged intellectual property infringement related to Client assets

  • Client misuse of deliverables or Services

  • Client violation of applicable laws or regulations


11. Termination

Termination rights and notice periods are governed by the applicable Client Agreement.

Upon termination, Aquatic SEO may immediately cease Services.

Fees for Services rendered or time allocated are non-refundable unless expressly stated otherwise in writing.


12. Governing Law & Venue

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles.

Any dispute shall be resolved exclusively in state or federal courts located in South Carolina, and the parties consent to personal jurisdiction therein.


13. Modifications

Aquatic SEO may modify these Terms at any time.

Continued use of the website or Services after changes constitutes acceptance of the revised Terms.


14. Entire Agreement

These Terms, together with any Client Agreement, constitute the entire understanding between the parties regarding Services.

If any provision is held unenforceable, the remaining provisions remain in full force and effect.
